We reserve the right to refuse service to anyone for any reason at any time.

Client Obligations

As a client of Liruwei Accounting, you agree to:

• Provide accurate, complete, and timely information necessary for us to perform our services
• Respond promptly to our requests for information or documents
• Review all documents and reports prepared by us and notify us promptly of any errors or omissions
• Make all decisions regarding your financial matters and accept full responsibility for such decisions
• Pay our fees in accordance with the agreed-upon payment terms
• Comply with all applicable laws and regulations

Failure to meet these obligations may result in delays, additional costs, or termination of our services.

Service Engagement

Engagement Process

Our service relationship begins when:

1. You contact us requesting our services
2. We conduct an initial consultation to understand your needs
3. We provide a written proposal or engagement letter
4. You accept our proposal by signing the engagement letter and paying any initial retainer

Services will not commence until we have received your signed engagement letter and any required retainer payment.

Term and Termination

The term of our engagement will be specified in the engagement letter. Either party may terminate the engagement by providing written notice to the other party:

• You may terminate our services at any time by providing written notice
• We may terminate our services if:
  • You fail to pay our fees when due
  • You fail to provide necessary information or cooperation
  • We discover information indicating that continuing the engagement would result in violation of our professional or legal obligations
  • There is an irreconcilable breakdown in the client-accountant relationship

Upon termination, you agree to pay for all services performed and expenses incurred up to the date of termination.

Fees and Payment

Fee Structure

Our fees for services may be based on:

• Hourly rates
• Fixed fees for specific services
• Monthly retainer fees
• Value-based fees for specialized projects

The applicable fee structure will be detailed in the engagement letter or service agreement.

Payment Terms

Unless otherwise specified in the engagement letter:

• Invoices are issued monthly and due within 15 days of the invoice date
• Late payments may be subject to interest charges at the rate of 1.5% per month on the unpaid balance
• We may request a retainer or advance payment before beginning work
• We reserve the right to suspend services if payments are not received according to the agreed terms

Expenses

In addition to our professional fees, you will be responsible for reimbursing us for any out-of-pocket expenses incurred in connection with the services, such as:

• Travel expenses
• Filing fees
• Courier or delivery charges
• Special software or technology costs required for your specific services

All expenses will be itemized on our invoices.

Confidentiality and Privacy

We respect the confidentiality of all client information. We will not disclose any confidential information obtained in the course of our professional services to third parties except:

Intellectual Property

• Knowledge and expertise used to deliver services
• General skills, know-how, and expertise developed during the engagement

Limitation of Liability

To the maximum extent permitted by applicable law:

• Our liability for any claims, losses, damages, or expenses arising out of our services is limited to the amount of fees paid for the specific services giving rise to the claim

These Terms, together with the engagement letter and Privacy Policy, constitute the entire agreement between you and Liruwei Accounting regarding your use of our services, superseding any prior agreements between you and Liruwei Accounting.
